Cyprus Branches
A company registered abroad can register a Branch in Cyprus and divert all its activities so that all transactions and operations are undertaken by the Branch. The purpose of registering a Branch in Cyprus is to take advantage of the Cyprus Legal System, the Tax system and the wide network of Double Tax Treaties which Cyprus has signed with over 40 countries worldwide. The foreign company must be managed and controlled by the Cyprus Branch. All work will be carried out by the Cyprus Branch and the foreign company will not receive any remuneration whatsoever.
In order to register a Branch the following documents must be submitted to the Registrar of Companies:
- Certificate of Incorporation of foreign company
- Certificate of Good Standing of the foreign company issued by the Registrar where that company is registered.
- Memorandum & Articles of Association of the foreign company.
The registration of the branch does not require the approval of a name, as in the case of companies. The name of the branch is the same as that of its parent company. The certificate of registration of the Branch indicates that the entity registered is a branch.
